CPP Investments backs Prestige’s six-city hotel expansion with ₹3,000 crore
Canada Pension Plan Investment Board (CPP Investments) has agreed to invest ₹3,000 crore (C$441 million) in Prestige Hospitality Ventures Limited (PHVL), the hospitality platform of Prestige Estates Projects. Announced on September 29, 2026, the transaction gives CPP Investments an approximately 27% stake in the company.
The investment is aimed at PHVL’s hotel portfolio and development pipeline across Bengaluru, Chennai, Delhi, Goa, Hyderabad and Mumbai. It is a corporate investment rather than a purchase of a named hotel or residential project. The October 14 report of the deal coincided with Prestige Estates’ Q2 FY27 update, which included operating and construction figures for the group’s hospitality business.
The investment and its structure
CPP Investment Board Private Holdings (4) Inc., an affiliate of CPP Investments, is the investor. The transaction combines a secondary share sale by Prestige Estates with new capital raised by PHVL, in three tranches. Prestige Estates is to receive ₹950 crore from the sale of PHVL equity shares; the company will receive a total of ₹2,050 crore in fresh funding through compulsorily convertible preference shares.
The first tranche comprises ₹950 crore for Prestige Estates and ₹550 crore for PHVL through Series A preference shares. The second and third tranches each provide ₹750 crore to PHVL, through Series B and Series C preference shares respectively. The Competition Commission of India approved the acquisition of certain PHVL shareholding by CPP Investment Board Private Holdings (4) Inc. on October 6, 2026.
- Total investment: ₹3,000 crore, for an approximately 27% stake in PHVL.
- Secondary sale proceeds to Prestige Estates: ₹950 crore.
- Fresh capital to PHVL: ₹2,050 crore across three series of preference shares.
- Separate financing support: Prestige Estates issued a corporate guarantee of up to ₹400 crore for PHVL borrowing from Axis Bank.
After the transaction, CPP Investments is entitled to certain governance and affirmative voting rights. The transaction documents provide for an exit through a PHVL initial public offering or a put option against Prestige Estates and PHVL after five years from completion.
Prestige Group chairman and managing director Irfan Razack described hospitality as part of the group’s long-term growth strategy, and said CPP Investments’ long-term investment approach complements Prestige’s development capabilities and market understanding. Hari Krishna, CPP Investments’ head of real estate in India and Mumbai office head, pointed to rising travel and demand for quality accommodation as drivers of opportunity in the sector. CPP Investments said this is its first direct investment in India’s hospitality sector.
Hospitality operations and expansion
Prestige’s hospitality portfolio recorded 70% occupancy during H1 FY27, with an average room rate of ₹15,143, according to its Q2 update. During the quarter, the group commenced construction on two hotel projects, adding a combined 313 keys across 0.77 million sq ft. The developments sit within a wider PHVL pipeline spanning six Indian cities, while the investment’s stated purpose is to support portfolio development and future expansion.
Prestige Group
Prestige Hospitality Ventures is part of Prestige Estates Projects, known as Prestige Group. The group says it has a four-decade legacy and operates across residential, commercial, retail, hospitality and integrated township businesses. As of June 2026, it reported 319 delivered projects covering 216 million sq ft, alongside a pipeline of 137 projects spanning 229 million sq ft.
CPP Investments manages the Canada Pension Plan Fund on behalf of more than 22 million contributors and beneficiaries. It reported fund assets of C$863.6 billion as of June 30, 2026.
What comes next
The investment is structured in three tranches. The first tranche was reported as consummated on October 15, 2026; the second and third tranches are also part of the agreed structure. The longer-term exit routes set out in the transaction documents are a PHVL IPO or a put option after five years from completion.
Separately, Prestige Estates’ Q2 FY27 update outlined plans for residential launches with potential sales value exceeding ₹40,000 crore across Bengaluru, Mumbai, NCR, Chennai and Hyderabad over the following two quarters. Those launches form part of the group’s broader development programme, distinct from CPP Investments’ investment in PHVL.
