Prestige Hospitality Arm Withdraws IPO; CPPIB Investment Finalized at ₹3,000 Crore with 27-28% Stake

Public Market Exit Shelved; Private Capital Takes the Lead

Prestige Estates Projects Ltd has withdrawn plans for a ₹2,700 crore initial public offering of its hospitality subsidiary, Prestige Hospitality Ventures Ltd (PHVL), which had filed its draft red herring prospectus with SEBI in April 2025. The withdrawal, approved by PHVL's board on September 25, 2026, followed from strategic considerations and uncertain market conditions.

The decision represents a marked shift in the company's capital-raising strategy. The proposed IPO had two components: a fresh issue of up to ₹1,700 crore, while Prestige Estates Projects, the promoter, was to sell shares worth up to ₹1,000 crore through an offer-for-sale component.

CPPIB Investment Framework Finalized

On September 29, 2026, Canada Pension Plan Investment Board announced a ₹3,000 crore investment in PHVL, through which CPP Investments will acquire approximately 27% stake in the hospitality platform. The funds will be deployed in three tranches, subject to regulatory approvals including from the CCI.

This marks CPP Investments' first direct investment in India's hospitality sector and builds on its growing hospitality exposure across Asia Pacific, including recent investments in Japan and Korea.

Strategic Timing and Capital Deployment

The IPO decision follows a separate funding announcement for the hotel business announced in August, when Prestige Estates said Canada-based investment firm CPPIB had agreed to invest up to ₹3,000 crore in PHVL through a binding framework agreement under which CPPIB proposed to make the investment in multiple tranches.

The funding will support the construction and expansion of luxury hotels in major Indian cities, offering the company a stable source of capital for its long-term development plans. At the time of the IPO filing, the company had seven hotels with 1,445 keys and a pipeline of 2,509 additional keys.

Future Public Listing Remains Open

The decision to withdraw ends the current filing process but leaves open the possibility of a future listing. The hospitality arm may submit a fresh draft prospectus to SEBI if market conditions become suitable, the necessary approvals are obtained and other considerations support the move.

Prestige Estates: Developer Track Record

Prestige Estates brings 300+ completed projects and 200,000+ delivered units across 38 years, with record FY26 sales bookings of ₹30,024 crore—the highest in the company's history. The developer holds the only CRISIL DA1+ rating among Indian real-estate firms, reaffirmed in March 2026.

Bengaluru-based Prestige Estates develops residential properties, offices, shopping malls and hotels across major Indian cities. Beyond residential, the group operates a substantial commercial, retail and hospitality portfolio including the UB City premium retail destination in Bengaluru, the Forum mall chain with 13 completed malls totalling 10 million sqft, Marriott, Hilton and Sheraton-branded hotels, and IT-park developments leased to Fortune 500 occupiers.
